UPDATE 2-Cielo's controlling shareholders reach deal to lift tender offer price

SAO PAULO, April 2 (Reuters) - The controlling shareholders of Brazilian payments firm Cielo have reached an agreement with some minority shareholders to raise the price of a tender offer to take the company private, according to a securities filing on Tuesday.

Under the agreement, lenders Banco do Brasil and Bradesco have committed to raise the offer price to 5.60 reais per share from 5.35 reais per share.

That would lift the deal's total amount to 6.17 billion reais ($1.22 billion) if the lenders acquire all shares in Cielo they do not own, up from the 5.9 billion reais seen before.

Banco do Brasil and Bradesco, together with their shared holding company Grupo Elopar, launched a tender offer in February to take Cielo private.

Minority shareholders at the time said the company would need to get a new valuation for the deal to go forward.

As part of their latest agreement, however, asset managers who together hold about 7% of Cielo agreed to vote against getting a new valuation.

A shareholders meeting to decide whether a new valuation would be done was postponed from Tuesday to April 23 so shareholders can analyze the new agreement, Cielo said in a separate filing.

Shares in Cielo were up 0.4% in midday trading, while Brazil's equities benchmark Bovespa was near flat.
